Welcome to WineFlow CRM. These Terms of Service ("Terms") govern your access to and use of the WineFlow website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

WineFlow CRM is a Customer Relationship Management (CRM) and Enterprise Resource Planning (ERP) platform designed for wine distributors, importers, and wineries. The Service includes:
- Customer and lead management
- Inventory and warehouse management
- Offer and order processing
- Email marketing campaigns
- Invoicing and shipping management
- Analytics and reporting
3. Account Registration
3.1 Eligibility
To use the Service, you must:
- Be at least 18 years old or the age of legal majority in your jurisdiction
- Have the legal authority to enter into these Terms
- Not be prohibited from using the Service under applicable laws
3.2 Account Creation
When creating an account, you agree to:

5. User Data and Content

7. Payment and Subscription

Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method at the beginning of each billing period.
7.3 Refunds
Unless required by law or specified in your subscription agreement, fees are non-refundable. You may cancel your subscription at any time, but no refund will be provided for the current billing period.

We may change our prices with at least 30 days' notice. Price changes will apply to the next billing period after the notice.
8. Service Availability
8.1 Availability
We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.
8.2 Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of significant changes that affect your use.
9. Limitation of Liability

9.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WINEFLOW CRM SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, business, or goodwill
- Any damages arising from your use or inability to use the Service
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
9.3 Exceptions
Some jurisdictions do not allow limitation of certain warranties or liabilities. In such cases, our liability will be limited to the maximum extent permitted by law.

You agree to indemnify and hold harmless WineFlow CRM and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

- Your violation of any third-party rights

11. Termination

You may terminate your account at any time by contacting us or using the account settings. Upon termination, your right to use the Service will cease immediately.

- Your account is used for illegal activities
- You fail to pay applicable fees
- We are required to do so by law
- Continuing the Service poses a security risk

- Your User Data may be deleted after a grace period (typically 30 days)
- Provisions that should survive termination will remain in effect

These Terms are governed by the laws of Italy, without regard to conflict of law principles.

Any disputes that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of Milan, Italy.

These Terms, together with our Privacy Policy and any subscription agreements, constitute the entire agreement between you and WineFlow CRM.
13.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
13.4 Assignment
You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
